In deze case stap je in de rol van een Fakton‑team waarin Energy en Consultancy samen optrekken. Jullie brengen als consultants in een gebiedsontwikkeling een vastgoedontwikkelaar, de netbeheerder en de gemeente naar een verantwoord akkoord: een haalbaar plan voor herontwikkeling met een betaalbaar, duurzaam energiesysteem én een deal die financieel en bestuurlijk klopt.

Je vertaalt data naar strategie, rekent het energieconcept én de businesscase door en weegt belangen van bedrijven, beleggers, netbeheerder en overheid. Vanuit Consultancy‑perspectief structureer je de samenwerking (rollen, risico’s, opbrengsten), werk je aan grond- en gebiedsexploitatie, fasering en randvoorwaarden. Vanuit Energy‑perspectief structureer je het integrale energiesysteem (warmte, elektriciteit, opslag), toets je investeringen en exploitatie, en maak je keuzes die in de praktijk uitvoerbaar zijn.

Het spelelement staat centraal. Teams vertegenwoordigen tegengestelde partijen, werken met asymmetrische informatie en beperkte tijd en strijden om het beste eindbod. Je bepaalt de dealruimte, kiest slimme concessies en voert onderhandelingen in rondes met tactische breaks: strategie bijstellen, scenario’s doorrekenen, herpositioneren en je tegenpartij verrassen. Jullie winnen wanneer je een onderbouwde deal sluit die gebiedswaarde, energielasten, CO2‑reductie, rendement en uitvoerbaarheid het best balanceert - en dat overtuigend weet te pitchen.

Zo ervaar je hoe wij dagelijks publieke en private partijen verbinden, complexe vastgoed- en energievraagstukken structureren en deals sluiten die projecten echt verder brengen: van analyse naar akkoord, van slide naar site.

One of our focus areas is manager selection in Private Equity. The Private Equity industry has grown substantially from inception over 40 years ago. In an increasingly competitive environment, thousands of General Partners are trying to create value in private markets. Not all succeed. Investors in Private Equity need to understand not just risk/return profiles, but should also conduct due diligence on the organization, team, investment terms and of course, overall strategy of a manager when trying to decide which funds to commit to. That is where we come in.

In this case, you will be responsible for part of the Bluemetric selection process. Through our sourcing partners, a new manager came to our attention. The manager will be raising their next fund in the coming months. In teams, you will have to perform high-level due diligence on the strategy, organization, track record and investment terms of this next fund. What are the most important pros and cons of the fund? Could it be interesting to our clients? Should the fund be recommended for further due diligence at the next Investment Committee meeting? If so, what should be the focus points of further due diligence? If clients decide to
allocate to the fund, how much should they allocate?

Sunny Auction is a Dutch e-commerce company with an online auction platform for leisure packages such as vacations, cruises, events, and wellness. The owners want to sell the company. Deloitte conducted a seller due diligence and provided several information files and a financial model to potential buyers.

A potential strategic buyer commissioned an acquisition study. This study focuses primarily on the financial figures, recurring profitability (normalized EBITDA), and adjusted net debt. The historical figures show modest revenue growth and an improvement in gross margin, partly due to changes in the product range and efficiency measures.

Management wants to generate additional revenue by investing in the IT platform; that project is already planned and should increase sales capacity. There is a risk, however, because a large part of the revenue comes from a small group of partners. One partner went bankrupt and left behind a doubtful claim. There is a payment dispute with another partner that has led to a lawsuit and may result in additional costs.

The results also include several one-off items, such as fines or penalties, marketing deviations, subsidies, and write-offs on old IT projects. These items affect the reported profit and are excluded from the analysis in order to determine the actual operating result. The balance sheet shows a lot of cash, but there are also existing loans and planned additional financing for investments. A DCF method was used for the valuation, with separate scenarios with and without synergies. The results provide guidelines for a binding offer and the negotiation strategy.
